      THIS INDEMNITY executed on this day/date in favour of we as a Carrier/Line’s  having registered office at 610, A Wing, Kohinoor Commercial City – I, Kirol Road, Off L.B.S Marg, Kurla (West) Mumbai - 400070, hereinafter to be referred to as “Indemnified” which expression unless excluded by or repugnant to the context shall mean and include its successors, assigns of the ONE PART.
You as a Customer/Vendor, being a sole Proprietorship Firm / Partnership Firm / Company hereinafter referred to as the “Indemnifier” which expression unless excluded by or repugnant to the context shall  mean and include his/theirs/its heirs, representatives, administrators, assigns of the OTHER PART.
AND WHEREAS, the Indemnifier being willing and authorised Indemnified in case of all/any default at Indemnifier’s end.
AND WHEREAS at such request of the Indemnifier, subject to Indemnity provided herein by the Indemnifier, in favour of Indemnified on the terms and conditions mentioned hereunder stated:
 •	Wrong documents uploaded, and false declarations provided to the Indemnified.
 •	Forged and Fraudulent documents for KYC Registration as well as for Invoicing.
In consideration and in compliance of above mentioned terms and conditions, Indemnifier hereby agree as follows:
 1.	That apart from the above, Indemnifier shall indemnify the Indemnified party against all liabilities, costs, expense, damages and losses (including but not limited to any interest, penalties, costs, expenses, damages and losses (including but not limited to any interest, penalties and legal costs and all other professional costs and expenses suffered or incurred by the Indemnified party arising out of or in connection with:
  a.	Any breach of the representations, warranties, covenants and/or undertakings contained herein or in the Scheme Documents;
  b.	Any information or documentation submitted to this Agreement and/or the Scheme Document, being untrue, incorrect or false;
  c.	Any claim made against the Indemnified Party for actual or alleged infringement of a Third Party’s rights or damage caused to a third party arising out of or in connection with the performance or non-performance of any obligations under this agreement to the extent that such claim arises out of the breach, negligent performance or failure or delay in performance of this Agreement by the Purchaser, its employees, agents or contractors;
  d.	Any loss or damages caused on account of breach of applicable law, including without limitation any costs incurred in rectifying any damages on account of breach, negligent performance or failure in performance of this Agreement or non-compliance with the applicable law.
 2.	We further agree and confirm that this undertaking shall be unconditional and irrevocable and shall be binding on us and our successors and assigns and shall be binding and in full force and effect.
 3.	We further state that the information furnished and submitted by us i.e., the Indemnifier above is true and correct. In case, the information furnished and submitted turns out to be false or untrue, we reserve rights to proceed/initiate such action both Civil and Criminally as per India Law.
